1. Acceptance of Terms

These Terms and Conditions ("Terms") govern your access to and use of the Mad Monkey AI mobile application (the "App") operated by Mad Monkey AI Inc., a Delaware C-Corporation, with its principal office at 131 Continental Dr, Suite 305, Newark, Delaware 19713, USA ("Company," "we," "our," "us").

By downloading, installing, accessing, or using the App, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the App. If you are under 18, you confirm that your parent or legal guardian has reviewed and agreed to these Terms on your behalf.

2. Eligibility and Age Requirements

2.1 Minimum Age

You must be at least 13 years of age to create an account and use the Mad Monkey AI App. We do not knowingly allow users under 13 to register. If we discover that a user under 13 has created an account without verified parental consent, we will deactivate the account and delete all associated data.

2.2 Users Under 18 — Parental Consent

Users in India:

In compliance with the Digital Personal Data Protection Act, 2023 (DPDP Act), all users under the age of 18 in India must obtain verifiable parental or legal guardian consent before creating an account. Accounts for users under 18 in India will not be activated until parental consent is verified.

Users in the United States:

In compliance with the Children's Online Privacy Protection Act (COPPA), all users under the age of 13 in the United States must obtain verifiable parental consent before creating an account. For users aged 13–17 in the United States, parental consent is encouraged but not legally required under COPPA.

Users in Other Regions:

We apply the more protective standard applicable to the user's jurisdiction. Where local law requires parental consent for users under 18 (or any other age threshold), we comply with the applicable requirement.

2.3 Screen Time Restrictions for Minors

Users under the age of 17 are subject to an automatic daily screen time cap of 60 minutes, enforced by the Brain Rot Meter feature. Once the 60-minute limit is reached, the user will be logged out and will not be able to access the App again until the 24-hour reset period has elapsed. This restriction cannot be overridden by the user.

2.4 Account Responsibility

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately at contact@madmonkey.ai if you suspect unauthorized use of your account.

3. Description of Services

Mad Monkey AI provides the following features and services through the App:

• Sparks: Time-limited collaboration posts where users find collaborators for projects, study groups, startup ideas, campus events, creator collaborations, and more. Each Spark has a defined expiry (12, 24, 48, or 72 hours) and a maximum of 5 collaborator slots.

• Monkey Talk: A social feed and messaging platform for viewing posts, reels, and Sparks from other users. Includes direct messaging and Mission Chat (group chat for Spark collaborators).

• Brain Rot Meter: A screen time tracking feature that displays your daily App usage and enforces the 60-minute cap for users under 17.

• Monkey Cash: A virtual in-app reward system where users earn Monkey Cash through App activity (see Section 4 for full terms).

• Monkey Wallet: A dashboard displaying your Monkey Cash balance, earning history, redemption options, and opportunities such as the Business Partner program and Mad Monkey University.

• Builder Score: A reputation metric that reflects your contribution history including Sparks created, collaborations completed, and projects delivered.

• Spark Radar: A discovery feature showing Sparks matching your campus, city, language, and interest preferences.

• Maddyy AI Assistant: An AI-powered chatbot that helps users create Spark posts by generating title, description, tags, and settings suggestions based on user input. Powered by third-party AI services.

• Mad Monkey University: Free educational courses (startup building, study group formation) available inside the Monkey Wallet.

• Deals Near Me (Coming Soon): A hyper-local deals and coupon feature for nearby merchants.

• Ask Maddyy (Coming Soon): An AI-powered product recommendation engine.

• Business Partner Program: An opportunity for users to earn commission by onboarding local merchants onto the Deals Near Me platform.

• Bill Snap: A feature allowing users to photograph and upload bills/receipts to earn Monkey Cash rewards.

4. Monkey Cash — Virtual In-App Currency

4.1 Nature of Monkey Cash

Monkey Cash ("MC") is a virtual, non-monetary, in-app reward currency issued by Mad Monkey AI Inc. for use exclusively within the Mad Monkey AI App. Monkey Cash:

• Has no independent cash value outside the App.

• Is not cryptocurrency, a digital asset, a security, or a financial instrument.

• Cannot be purchased with real money.

• Cannot be transferred, traded, sold, or exchanged between users.

• Cannot be converted to fiat currency (USD, INR, or any other currency) directly.

• Exists solely as a reward and engagement mechanism within the App ecosystem.

4.2 Earning Monkey Cash

Users earn Monkey Cash through the following in-app activities:

• App Download: +100 MC (one-time welcome bonus upon account creation).

• Referral: +10 MC per friend who creates an account using your referral link.

• Circle Power: +1 MC per friend in your network per day. This amount must be claimed by logging into the App. Unclaimed Circle Power MC does not accumulate — if you do not log in and claim within the 24-hour window, that day's Circle Power MC is forfeited.

• Spark Creation: +5 MC per Spark post created.

• Bill Snap: +2 MC per receipt/bill photograph uploaded and validated.

Mad Monkey AI Inc. reserves the right to modify earning rates, add new earning mechanisms, or discontinue existing earning mechanisms at any time with reasonable notice to users.

4.3 Monkey Cash Redemption

Monkey Cash may be redeemed for rewards during limited Redemption Windows. Redemption is not always available — windows open and close on a schedule determined by Mad Monkey AI Inc.

• Base Redemption Rate: 500 MC = ₹100 value (India) or equivalent value in other regions.

• Redemption Options: May include but are not limited to mobile recharge cards, Amazon gift cards, Flipkart gift cards, and vendor-specific discounts.

• Redemption options, rates, and vendors may change between Redemption Windows.

• Vendor-specific offers (e.g., "30% off on mobile phones for 500 MC") may be available during select windows with rotating merchants.

• Redemption is subject to availability. Mad Monkey AI Inc. does not guarantee that any specific redemption option will be available at any given time.

• All redemptions are final and non-reversible once processed.

Mad Monkey AI Inc. reserves the right to modify, suspend, or discontinue the Monkey Cash redemption program, redemption rates, and available rewards at any time with reasonable notice.

4.4 Monkey Cash Restrictions

• Monkey Cash cannot be redeemed for cash or transferred to any bank account.

• Monkey Cash balances are non-transferable and are tied to your individual account.

• In the event of account termination for Terms violation, any accumulated Monkey Cash will be forfeited.

• Mad Monkey AI Inc. reserves the right to revoke Monkey Cash earned through fraudulent, abusive, or manipulative activity (including but not limited to creating fake accounts for referral bonuses, automated bill snap uploads, or coordinated gaming of the system).

• We may impose daily limits on specific earning activities (e.g., maximum 5 Bill Snap uploads per day) to prevent abuse.

4.5 No Cryptocurrency Activity Within the App

The Mad Monkey AI App does not allow users to earn, receive, mine, stake, or generate cryptocurrency or digital assets within the App. Monkey Cash is not a blockchain token or digital asset. The App does not include cryptocurrency wallets, token exchanges, blockchain transactions, or any decentralized finance (DeFi) functionality.

5. Mad Monkey Labs Inc. — Separate Entity

5.1 Legal Separation

Mad Monkey Labs Inc. is a legally independent entity from Mad Monkey AI Inc. The two companies have separate legal structures, operations, and governance:

• Mad Monkey AI Inc. — operates the Mad Monkey AI App, issues Monkey Cash, provides social networking and collaboration features. Incorporated in Delaware, USA.

• Mad Monkey Labs Inc. — operates external blockchain services, including the Avalanche subnet infrastructure and optional MMT token programs. Operates independently from the App.

5.2 Optional External Token Programs

Users aged 18 and older may, at their sole discretion and entirely outside the Mad Monkey AI App, choose to participate in separate programs operated by Mad Monkey Labs Inc. These programs:

• Are completely external to the Mad Monkey AI App.

• Require independent identity verification (KYC/AML) with Mad Monkey Labs Inc.

• Are not facilitated, endorsed, or controlled by Mad Monkey AI Inc.

• Are not available to users under 18.

• Are not endorsed by or affiliated with Apple Inc. or Google LLC.

5.3 No Guaranteed Conversion

Monkey Cash earned within the App does not automatically convert to MMT tokens or any digital asset issued by Mad Monkey Labs Inc. There is no fixed exchange rate between Monkey Cash and MMT tokens. There is no promise, expectation, or guarantee that Monkey Cash holders will receive MMT tokens. Any conversion or participation in Mad Monkey Labs Inc. programs is subject to the terms, eligibility requirements, and rules set solely by Mad Monkey Labs Inc.

6. User Conduct and Content

6.1 Acceptable Use

You agree to use the App only for lawful purposes and in a manner consistent with these Terms. You agree not to:

• Post content that is defamatory, abusive, harassing, threatening, obscene, hateful, discriminatory, or otherwise objectionable.

• Impersonate any person or entity, or falsely represent your affiliation with any person or entity.

• Post false, misleading, or deceptive content, including fake Sparks designed to mislead users.

• Use the App to spam, solicit, or advertise products or services not affiliated with the App.

• Attempt to access other users' accounts or personal information without authorization.

• Use automated tools, bots, or scripts to interact with the App or game the Monkey Cash system.

• Upload viruses, malware, or other harmful code.

• Violate any applicable local, state, national, or international law or regulation.

6.2 User-Generated Content

You retain ownership of the content you create and post on the App (Sparks, posts, reels, messages). However, by posting content on the App, you grant Mad Monkey AI Inc. a non-exclusive, worldwide, royalty-free, transferable, sub-licensable license to use, display, reproduce, distribute, and modify your content solely for the purposes of operating, promoting, and improving the App.

You represent and warrant that you own or have the necessary rights to all content you post, and that your content does not infringe the intellectual property rights of any third party.

6.3 Content Moderation

We reserve the right to review, moderate, and remove any content that violates these Terms or our community guidelines, at our sole discretion and without prior notice. We may use automated systems and human review to moderate content. Repeated violations may result in account suspension or permanent termination.

7. Intellectual Property

The Mad Monkey AI App, including its design, features, logos, trademarks ("Mad Monkey AI," "Monkey Cash," "Sparks," "Maddyy," "Brain Rot Meter," "Builder Score," "Spark Radar," "Monkey Talk"), code, and content created by Mad Monkey AI Inc. are the exclusive property of Mad Monkey AI Inc. and are protected by intellectual property laws.

You may not copy, modify, distribute, reverse engineer, decompile, or create derivative works from the App or any of its components without prior written consent from Mad Monkey AI Inc.

8. Business Partner Program

The Business Partner ("BP") program allows eligible users to earn commission by onboarding local merchants onto the Deals Near Me platform. By enrolling in the BP program, you agree to:

• Represent Mad Monkey AI honestly and accurately when approaching merchants.

• Not make false promises regarding user traffic, revenue, or performance guarantees to merchants.

• Comply with all applicable local laws regarding solicitation, marketing, and commerce.

• Understand that BP commissions are earned on actual coupon redemptions, not merchant sign-ups alone.

• Acknowledge that Mad Monkey AI Inc. may modify commission rates, merchant limits, or program terms at any time with reasonable notice.

Business Partners are independent participants, not employees, contractors, or agents of Mad Monkey AI Inc. The BP program does not create an employment, franchise, or agency relationship.

9. Privacy

Your privacy is important to us. Our collection, use, storage, and sharing of your personal information is governed by our Privacy Policy, available at www.madmonkey.ai/privacy. By using the App, you consent to our Privacy Policy, which is incorporated into these Terms by reference.

10. Disclaimers

10.1 App Provided "As Is"

The App is provided on an "as is" and "as available" basis without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, or uninterrupted availability.

10.2 No Financial Advice

Nothing in the App, including Monkey Cash, the Business Partner program, or any content generated by the Maddyy AI assistant, constitutes financial, investment, legal, or tax advice. Mad Monkey AI Inc. provides no financial, investment, or tax advice. Users are solely responsible for any tax obligations arising from reward redemptions or BP commissions.

10.3 AI-Generated Content

Content suggestions generated by the Maddyy AI assistant are provided for convenience and are not guaranteed to be accurate, complete, or appropriate. Users are responsible for reviewing and editing all AI-generated content before posting. Mad Monkey AI Inc. is not liable for any consequences arising from the use of AI-generated content.

10.4 Third-Party Services

The App may link to or integrate with third-party services (including reward fulfillment partners, AI service providers, and merchant websites). Mad Monkey AI Inc. is not responsible for the availability, accuracy, content, or practices of any third-party services.

11. Limitation of Liability

To the maximum extent permitted by applicable law, Mad Monkey AI Inc., its officers, directors, employees, affiliates, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, goodwill, or other intangible losses, arising from:

• Your use of or inability to use the App.

• Any unauthorized access to your account or personal data.

• Any content posted by other users.

• Any interruption, suspension, or termination of the App or any feature.

• Any loss of Monkey Cash or unredeemed rewards.

• Any actions taken by Mad Monkey Labs Inc. or its programs.

In no event shall our total aggregate liability exceed the greater of (a) the amount you have paid to Mad Monkey AI Inc. in the twelve (12) months preceding the claim, or (b) one hundred US dollars ($100).

12. Account Termination

We reserve the right to suspend or terminate your account at any time, with or without notice, for conduct that we determine, in our sole discretion, violates these Terms, is harmful to other users, or is otherwise objectionable. Upon termination:

• Your right to use the App ceases immediately.

• Any accumulated Monkey Cash is forfeited and non-refundable.

• Your Builder Score and profile data will be removed.

• Content you posted may remain visible for a reasonable period before deletion.

You may also delete your account at any time by contacting us at contact@madmonkey.ai. Account deletion requests will be processed within 7 business days.

13. App Store Compliance

13.1 Apple App Store (iOS Users)

For users who download the App from the Apple App Store, the following additional terms apply:

• These Terms are between you and Mad Monkey AI Inc., not Apple Inc. Apple has no obligation to provide maintenance, support, or warranty for the App.

• Apple has no responsibility for addressing any claims related to the App, including product liability, legal compliance, or intellectual property infringement.

• In the event of any third-party claim that the App infringes that party's intellectual property rights, Mad Monkey AI Inc., not Apple, is solely responsible.

• Apple and its subsidiaries are third-party beneficiaries of these Terms.

• Monkey Cash is a virtual currency with no cash value and fully complies with App Store Review Guidelines 3.1.5 regarding virtual currencies.

• No cryptocurrency is earned, traded, or distributed within the App, in compliance with Apple policies.

13.2 Google Play Store (Android Users)

For users who download the App from the Google Play Store, the following additional terms apply:

• These Terms are between you and Mad Monkey AI Inc., not Google LLC.

• Monkey Cash is a virtual currency with no cash value and fully complies with Google Play Payments Policy and Virtual Currency Guidelines.

• The App does not facilitate cryptocurrency trading, wallet services, token swaps, or digital asset exchanges within the App, in compliance with Google Play Blockchain-Based Features Policy.

• Any external programs operated by Mad Monkey Labs Inc. are entirely outside the Google Play ecosystem and are not processed through Google Play.

• Google Play is not involved in, responsible for, or an endorser of any activity conducted by Mad Monkey Labs Inc.

14. Indemnification

You agree to indemnify, defend, and hold harmless Mad Monkey AI Inc., its officers, directors, employees, affiliates, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including attorney's fees) arising from: (a) your use of the App; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) any content you post on the App.

15. Dispute Resolution

15.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States of America, without regard to conflict of law provisions. For users in India, applicable provisions of Indian law including the Consumer Protection Act, 2019 and the Information Technology Act, 2000 shall also apply.

15.2 Informal Resolution

Before filing any formal legal proceeding, you agree to attempt to resolve any dispute informally by contacting us at contact@madmonkey.ai. We will attempt to resolve the dispute within 30 days.

15.3 Arbitration

If the dispute cannot be resolved informally, both parties agree to submit to binding arbitration in the State of Delaware, USA, in accordance with the rules of the American Arbitration Association (AAA). Each party shall bear its own costs of arbitration.

16. Changes to These Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes through in-app notification and/or email at least 14 days before the updated Terms take effect. Your continued use of the App after the updated Terms take effect constitutes your acceptance of the changes. If you do not agree to the updated Terms, you must stop using the App and delete your account.

17. Severability

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision will be enforced to the maximum extent permissible, and the remaining provisions will remain in full force and effect.

18. Entire Agreement

These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and Mad Monkey AI Inc. regarding the use of the App and supersede all prior agreements, representations, and understandings.
